- Client: Any individual, business, or entity engaging the Agency for services.
- Services: Includes but is not limited to Social Media Marketing, SEO, Google Ads Management, Content Creation, Website/App Development, Branding, AI Funnels, and related digital marketing services offered by the Agency.
- Agreement: The contract between the Agency and the Client as outlined by these Terms and Conditions.
2. Services
- The Agency provides services as per the agreed proposal, quotation, or package.
- Service deliverables will be defined in the Client’s signed contract or agreed correspondence (e.g., emails, proposals).
- The Agency does not guarantee specific results (e.g., leads, sales, rankings) unless explicitly stated in the contract.
3. Payment Terms
- All fees are payable in advance unless stated otherwise.
- Payment must be made within the specified timeline to avoid service delays.
- The Agency reserves the right to halt work if payments are delayed beyond the agreed terms.
4. Refund Policy
- Payments made to the Agency are non-refundable except under extraordinary circumstances, such as failure to deliver the agreed services.
- Refund requests must be made in writing and will be evaluated on a case-by-case basis.
5. Client Obligations
- The Client must provide all necessary information, content, and approvals required for the Agency to perform its services.
- Delays in providing required inputs may result in delays in the delivery of services, for which the Agency will not be held responsible.
- The Client agrees to adhere to all applicable laws and regulations concerning their use of the Agency’s services.
6. Confidentiality
- Both parties agree to keep all shared information confidential and not disclose it to any third party unless required by law.
- The Agency reserves the right to showcase general outcomes of campaigns (e.g., growth percentages) without disclosing confidential information.
7. Intellectual Property
- Ownership of created content, designs, or deliverables will be transferred to the Client upon full payment.
- The Agency retains the right to use created content in its portfolio or marketing materials unless specified otherwise in the contract.
8. Termination
- Either party may terminate the agreement by providing 30 days’ written notice.
- Upon termination, all outstanding payments for services rendered must be cleared by the Client.
- The Agency reserves the right to terminate the agreement without notice if the Client engages in illegal activities or breaches the terms of this agreement.
9. Liability
- The Agency will not be liable for indirect, consequential, or incidental damages arising from the use or inability to use the services.
- The Agency’s total liability will not exceed the total fees paid by the Client for the specific service.
10. Amendments
- The Agency reserves the right to update or modify these Terms and Conditions at any time without prior notice.
- Continued use of the Agency’s services after any changes constitute the Client’s acceptance of the updated terms.
11. Governing Law
- These Terms and Conditions are governed by the laws of [Insert Jurisdiction].
